1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the RichLocal platform and services (collectively, the "Platform"). By accessing or using the Platform, you represent that:

• You have read, understand, and agree to be bound by these Terms
• You are at least 18 years old and have the legal capacity to enter into this agreement
• If you are accepting these Terms on behalf of a business, you have the authority to bind that business to these Terms
• All information you provided during registration is true, accurate, and complete

If you do not agree to these Terms, you must not use the Platform.

2. Description of Service

RichLocal provides a comprehensive local marketing platform that includes:

• Review management and monitoring across multiple platforms
• Business listings synchronization and management
• Local SEO optimization tools
• Reputation monitoring and alerts
• Communication tools including SMS, email, and unified inbox
• AI-powered features including website chat and voice AI
• Scheduling, payment processing, and customer relationship management
• Social media management and automation

RichLocal reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use the Platform, you must create an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Implementing recommended security measures, including two-factor authentication
• Immediately notifying us of any unauthorized access or security breach

RichLocal is not liable for any loss or damage arising from your failure to maintain account security.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on any third party's intellectual property rights
• Transmit any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use the Platform to send spam, unsolicited communications, or violate anti-spam laws
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without our express written permission
• Misrepresent your identity or affiliation with any person or entity

5. Communications Compliance

5.1 Your Responsibility

You are solely responsible for all communications sent through the Platform, including SMS, email, and other messages. You must comply with all applicable laws, including but not limited to:

• The Telephone Consumer Protection Act (TCPA)
• The CAN-SPAM Act
• State and federal telemarketing laws
• International communications laws applicable to your recipients

5.2 Consent Requirements

You represent and warrant that you have obtained all necessary consents from recipients before contacting them through the Platform. You must maintain records of such consent and provide them upon request.

5.3 RichLocal's Role

RichLocal provides the technology infrastructure for sending communications but does not create, initiate, or control the content, timing, or recipients of your messages. You are deemed the sender of all communications for legal and regulatory purposes.

6. Artificial Intelligence Features

The Platform includes AI-powered features such as website chat, voice AI, and content generation. By using these features, you acknowledge and agree that:

• No Guarantees: AI-generated content may be inaccurate, incomplete, or inappropriate. You must review and verify all AI-generated content before use.
• Not Professional Advice: AI features do not provide legal, medical, financial, or other professional advice.
• Your Responsibility: You are solely responsible for how you use AI-generated content and must ensure compliance with applicable laws.
• Prohibited Uses: You may not use AI features to generate discriminatory, harmful, illegal, or misleading content.

7. Third-Party Services and Integrations

The Platform may integrate with third-party services such as Google Business Profile, social media platforms, payment processors, and review sites. You acknowledge that:

• Your use of third-party services is subject to their own terms and policies
• RichLocal is not responsible for the operation, availability, or content of third-party services
• You grant permission for RichLocal to share your data with third-party services as necessary to provide Platform functionality
• RichLocal may modify or discontinue third-party integrations at any time

8. Fees and Payment

8.1 Subscription Fees

Use of the Platform requires payment of subscription fees as outlined in your selected plan. By subscribing, you authorize RichLocal to charge your payment method:

• Subscription fees will be charged in advance on a monthly or annual basis
• Your subscription will automatically renew unless cancelled
• We may change our pricing with notice to you

8.2 Usage-Based Fees

Certain features (such as SMS, phone calls, and email) may incur additional usage-based charges. These charges will be deducted from your account wallet or billed to your payment method.

8.3 Late Payment

If payment fails, we will attempt to re-charge your payment method. Continued non-payment may result in suspension or termination of your account.

8.4 Refunds

All fees are non-refundable except as required by law. Refunds are granted at RichLocal's sole discretion.

9. Cancellation and Termination

9.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

9.2 Termination by RichLocal

We may suspend or terminate your account immediately if:

• You breach these Terms
• Your account remains inactive for 90 days or more
• Payment fails and remains unpaid
• We determine your use poses a security risk or legal liability

9.3 Effect of Termination

Upon termination:

• Your access to the Platform will immediately cease
• Your data will be retained for 90 days, after which it may be permanently deleted
• You remain responsible for all fees incurred before termination

10. Intellectual Property

10.1 RichLocal's Property

The Platform, including all content, features, and functionality, is owned by RichLocal and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform.

10.2 Your Content

You retain ownership of content you create or upload to the Platform. By using the Platform, you grant RichLocal a license to use, store, and process your content as necessary to provide the Platform services.

10.3 Feedback

If you provide feedback or suggestions about the Platform, you grant RichLocal the right to use such feedback without any obligation to you.

11. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. You are responsible for:

• Complying with all applicable privacy laws (GDPR, CCPA, etc.)
• Obtaining necessary consents from your customers
• Implementing your own privacy policy for your business
• Responding to data subject requests from your customers

12. Disclaimers and Limitation of Liability

12.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We make no warranties about the accuracy or reliability of any content or features.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• RichLocal's total liability to you shall not exceed the amount you paid us in the three (3) months before the claim arose
• We are not liable for any indirect, incidental, consequential, or punitive damages
• We are not liable for losses resulting from third-party services, data loss, or business interruption

12.3 Business Results

We make no guarantees about your business results, revenue, rankings, review ratings, or other outcomes from using the Platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless RichLocal from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms or applicable laws
• Your communications sent through the Platform
• Infringement of any third-party rights
• Disputes with your customers

14. Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Binding Arbitration: Any disputes arising from these Terms shall be resolved through binding arbitration in Dallas, Texas, in accordance with the American Arbitration Association's Commercial Arbitration Rules. You waive your right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Changes to Terms

We may update these Terms at any time. We will notify you of material changes. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RichLocal regarding the Platform.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

15.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms at any time without notice.
